2 About GENFLEX and the Website
2.1 GENFLEX connects Tenants with Space Providers. Through the Website, Tenants can search Listings, save Shortlists, invite colleagues, submit Enquiries and book Inspections, and Space Providers can publish Listings and make Referrals.
2.2 We do not own or operate any Space and, unless we agree otherwise in writing, we are not a party to any Occupancy Agreement. Each Occupancy Agreement is between the Tenant and the Space Provider, on the terms they agree between themselves.
2.3 Unless we agree otherwise with a Tenant in writing, Tenants do not pay us to use the Website. We are paid by Space Providers, usually through a commission or referral fee when a Tenant we introduce enters into an Occupancy Agreement. We may also pay a referral fee to a Space Provider that refers a Tenant to us. Our arrangements with Space Providers are set out in Operator Agreements.
2.4 We may change, suspend or discontinue all or part of the Website at any time, including its features and the Spaces listed on it.
3 Accounts
3.1 You need an Account to use some parts of the Website. To hold an Account, you must be at least 18 years of age and use the Website for business purposes.
3.2 You must give us accurate and complete information when you create an Account, and you must keep that information up to date.
3.3 We use Verification Codes rather than passwords. You must keep your email account secure, must not share a Verification Code with anyone, and must tell us promptly if you believe someone has accessed your Account without your permission. You are responsible for activity on your Account, except to the extent it results from our failure to take reasonable care.
3.4 An Account is personal to the individual who registers it and must not be shared.
3.5 You may close your Account at any time by contacting us. We may suspend or close an Account in accordance with clause 16.
4 Searches, Shortlists and Invited Users
4.1 You may save Spaces to a Shortlist and invite colleagues to view or contribute to it as Invited Users. Before you invite a colleague, you must have their permission to give us their name and email address, and you must tell them that we will handle their details in accordance with our Privacy Policy.
4.2 An Invited User must comply with these Terms when using the Website.
5 Enquiries and Inspections
5.1 When you submit an Enquiry or book an Inspection, you authorise us to give the relevant Space Provider your name, contact details and company details, your requirements and the relevant details of your Shortlist. You also agree that the Space Provider may contact you directly about your Enquiry or Inspection. Our Privacy Policy explains how we handle that information.
5.2 An Inspection booking is subject to confirmation by the Space Provider. We or the Space Provider may need to reschedule or cancel an Inspection, and we will let you know if that happens. If you can no longer attend an Inspection, please let us know as soon as possible.
5.3 When you attend an Inspection, you must follow the reasonable directions of the Space Provider and comply with any site rules and safety requirements that apply at the premises. The Space Provider, and not GENFLEX, controls the premises.
5.4 A Listing is not an offer capable of acceptance. Whether a Space is available, and on what terms, is a matter for the Space Provider. Before you enter into an Occupancy Agreement, you should inspect the Space and read the Occupancy Agreement carefully.
6 Listings
6.1 Space Providers may submit Listings through the listing forms on the Website. We may require a Space Provider to enter into an Operator Agreement before we publish a Listing. Clause 18.1 deals with any inconsistency between these Terms and an Operator Agreement.
6.2 We may review, format and edit a Listing for consistency, presentation and length. We may decline or remove a Listing that we reasonably consider to be inaccurate, misleading, out of date or in breach of these Terms or an Operator Agreement, or that is otherwise unsuitable for the Website. We are not obliged to publish any Listing.
6.3 Each Space Provider warrants that:
(a) it owns or operates the Space, or is authorised by the owner or operator to list it;
(b) its Listing Content is accurate, complete and up to date, and is not misleading or deceptive or likely to mislead or deceive;
(c) it holds all rights needed to provide the Listing Content to us, including the rights in any images and floor plans, and our use of the Listing Content in accordance with these Terms will not infringe the rights of any person; and
(d) its Listing Content complies with all applicable laws.
6.4 Each Space Provider must update or withdraw its Listing promptly if the Space is no longer available or any of its Listing Content changes. Each Space Provider must also check its Listing as published, including any information we extract from its floor plans, and tell us promptly if anything is inaccurate.
6.5 Each Space Provider grants us a non-exclusive, worldwide, royalty-free licence to use, copy, adapt, format, publish, display and communicate its Listing Content for the purposes of operating the Website, promoting the Space and our Services, and sharing the Listing Content with Tenants. This includes using automated tools, such as artificial intelligence tools, to extract information from floor plans and other Listing Content. The licence continues while the Listing is published and for a reasonable period afterwards, so that we can remove the Listing Content from our systems and marketing materials.
6.6 A Space Provider that receives personal information about a Tenant or an Invited User from us must use it only to respond to the relevant Enquiry, to arrange and conduct the relevant Inspection and to negotiate and administer an Occupancy Agreement with that Tenant. The Space Provider must handle that information in accordance with all applicable privacy laws.
6.7 Commissions, referral fees and other commercial arrangements between us and a Space Provider are dealt with in an Operator Agreement, and not in these Terms.
7 Referrals
7.1 Space Providers may refer prospective tenants to us by submitting their contact details through the Website.
7.2 Before you make a Referral, you must have the prospective tenant’s permission to give us their details and for us to contact them. You must also tell them that we will handle their details in accordance with our Privacy Policy and, if we may pay you a referral fee for the Referral, that we may do so.
7.3 We decide whether and how to act on a Referral. A Referral does not, by itself, entitle you to any commission, referral fee or other payment. Any entitlement to a referral fee arises only under an Operator Agreement.
8 Information on the Website
8.1 Listing Content is provided by Space Providers. We do not verify all Listing Content and we do not guarantee that it is accurate, complete or current. Prices, availability, sizes, capacities and inclusions may change without notice.
8.2 Some features of the Website use automated tools, including artificial intelligence tools, to interpret searches and to extract details such as sizes and layouts from floor plans. Maps, addresses and walking times are provided by Third-Party Services and are approximate. Information produced in these ways may be inaccurate or incomplete.
8.3 Information on the Website is general information only and does not take into account your particular requirements. You should confirm any information that is important to you with the relevant Space Provider before you rely on it.
9 Acceptable use
9.1 You must use the Website only for lawful purposes and in accordance with these Terms. You must not, and must not attempt to:
(a) use the Website in breach of any law or in a way that infringes the rights of any person;
(b) submit information that is false, misleading or deceptive, or impersonate any person or organisation;
(c) copy, scrape, harvest or extract Listings, contact details or other content from the Website, whether manually or by automated means, except as the ordinary functions of the Website allow;
(d) use the Website or its content to build or support a competing listing service or database;
(e) use contact details obtained through the Website to send unsolicited communications;
(f) upload or transmit viruses or other malicious code, or material that is defamatory, offensive or unlawful;
(g) interfere with or disrupt the Website, or gain or attempt to gain unauthorised access to any Account, system or data; or
(h) probe, scan or test the vulnerability of the Website, or reverse engineer or decompile any part of it.
10 Third-Party Services
10.1 The Website uses Third-Party Services, including CARTO for maps, openrouteservice for address searches and other mapping services for walking times.
10.2 Third-Party Services and linked websites are controlled by third parties. We are not responsible for them, and a link to a third-party website does not mean that we endorse it.
11 Intellectual property
11.1 We or our licensors own all intellectual property rights in the Website and its content, other than User Content. This includes the GENFLEX name and logo, the design and layout of the Website, and its software.
11.2 You may use the Website and its content for your own business purposes in accordance with these Terms. You must not otherwise copy, reproduce, adapt, publish or distribute any part of the Website or its content without our written consent, except as permitted by law.
11.3 You retain ownership of your User Content. You grant us a non-exclusive, worldwide, royalty-free licence to use your User Content to provide, operate and improve the Website and our Services. The licence in clause 6.5 also applies to Listing Content.
11.4 If you give us feedback or suggestions about the Website, we may use them without restriction and without payment to you.
12 Privacy and cookies
12.1 We handle personal information in accordance with our Privacy Policy, and we use cookies in accordance with our Cookie Policy.
13 Australian Consumer Law
13.1 Nothing in these Terms excludes, restricts or modifies any right or remedy, or any guarantee, warranty or other term or condition, implied or imposed by the ACL or any other law that cannot lawfully be excluded, restricted or modified.
13.2 If we fail to comply with a guarantee under the ACL that applies to our Services, and the Services are not of a kind ordinarily acquired for personal, domestic or household use or consumption, our liability is limited, to the extent the law permits, to supplying the Services again or paying the cost of having the Services supplied again.
14 Limitation of liability
14.1 Subject to clause 13, and to the maximum extent permitted by law:
(a) the Website and its content are provided on an as-is and as-available basis, and we do not warrant that the Website will be uninterrupted, secure or free of errors;
(b) we are not liable for the acts or omissions of any Space Provider, Tenant or other user of the Website, the condition of any Space, any Occupancy Agreement or any Third-Party Service;
(c) we are not liable for any loss of profit, revenue, business or opportunity, or for any indirect or consequential loss, arising out of or in connection with the Website or these Terms; and
(d) our total liability to you arising out of or in connection with the Website or these Terms is limited to $100.
14.2 Nothing in clause 14 limits our liability for death or personal injury caused by our negligence, for fraud, or for any liability that cannot be limited by law.
15 Indemnity
15.1 You indemnify us against any loss, damage, cost or liability (including reasonable legal costs) that we suffer or incur as a result of a claim by a third party arising out of:
(a) your breach of these Terms;
(b) your User Content, including any claim that Listing Content infringes the rights of any person or is misleading or deceptive; or
(c) your provision to us of another person’s personal information without the permission required by clause 4.1 or clause 7.2.
15.2 Your liability under clause 15 is reduced to the extent that the loss was caused or contributed to by our negligence or our breach of these Terms.
16 Suspension and termination
16.1 We may suspend or close your Account, remove your User Content or restrict your access to the Website if we reasonably believe that you have breached these Terms, that your use of the Website creates a risk to us, to other users or to the Website, or that we are required to do so by law. Where it is reasonable to do so, we will give you notice and an opportunity to fix the problem first.
16.2 Clauses 6.5, 6.6, 11, 13, 14, 15 and 18 continue to apply after your Account is closed and after you stop using the Website.
17 Changes to these Terms
17.1 We may change these Terms from time to time, for example to reflect changes to the Website, our Services or the law. We will publish the updated Terms on the Website. If a change is material, we will also notify Account holders by email or through the Website before it takes effect.
17.2 The updated Terms apply from the date they are published, except that a material change applies from the date stated in our notice, which will be at least 14 days after we give it. If you do not agree to a change, you may stop using the Website and close your Account. If you continue to use the Website after a change takes effect, you accept the updated Terms.
18 General
18.1 Operator Agreements
If there is any inconsistency between these Terms and an Operator Agreement, the Operator Agreement prevails to the extent of the inconsistency.
18.2 Governing law
These Terms are governed by the laws of New South Wales, Australia. You and we each submit to the non-exclusive jurisdiction of the courts of New South Wales and the courts that may hear appeals from them.
18.3 Severance
If any provision of these Terms is invalid or unenforceable, it is read down to the extent necessary to make it valid or, if it cannot be read down, it is severed, and the remaining provisions continue to apply.
18.4 Waiver
A failure or delay by us in exercising a right under these Terms does not operate as a waiver of that right. A waiver is effective only if it is in writing.
18.5 Assignment
You may not assign or transfer your rights under these Terms without our written consent. You agree that we may assign or novate these Terms to a person who acquires all or part of our business, and we will notify you if we do so.
18.6 Entire agreement
These Terms and, for a Space Provider, any Operator Agreement are the entire agreement between you and us about the Website. Our Privacy Policy and Cookie Policy explain how we handle personal information and use cookies, and do not form part of these Terms.
18.7 Notices and contact
We may give you notices by email to the address associated with your Account or through the Website. You may give us notices, and contact us with any question about these Terms, by email to info@genflexgroup.com.
